1. Introduction

1.1 LearnSquad is a subscription based learning platform operated by Randgo Rewards (Pty) Ltd. LearnSquad gives students access to accredited and skills based programmes delivered by Partner Colleges.

1.2 These Terms and Conditions (Terms) explain how the Platform works, what you can expect from LearnSquad, what we expect from you, and the rules that apply to your subscription, payments, and use of the Platform.

1.3 By creating an account, subscribing, or using LearnSquad, you agree to these Terms. If you do not agree, do not use LearnSquad.

3. Definitions

3.1 Account means your LearnSquad user account.

3.2 Content means course listings, descriptions, learning resources, and other materials available on the Platform.

3.3 Partner College means the accredited education provider(s) who deliver the courses and issue certificates.

3.4 Platform means LearnSquad and any related websites, portals, and services operated by Randgo.

3.5 Subscription means the monthly, recurring payment that grants access to LearnSquad content and features.

4. Eligibility and account registration

4.1 You must be at least 18 years old to create an Account and subscribe.

4.2 You must provide accurate and complete information when creating your Account and keep it updated.

4.3 You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account.

5. Platform role and Partner College delivery

5.1 LearnSquad provides a digital platform that enables access to courses offered and delivered by Partner Colleges.

5.2 Partner Colleges remain responsible for course delivery, accreditation status, assessment requirements (where applicable), and issuing certificates.

5.3 Where course delivery occurs on Partner College systems, additional terms, policies, or rules of those providers may apply, and you agree to comply with them when accessing those systems.

6. Acceptable use and platform restrictions

6.1 You may use LearnSquad for personal, lawful, and non commercial purposes, unless otherwise agreed in writing.

6.2 You may not use the Platform in a way that is unlawful, harmful, abusive, or fraudulent.

6.3 You may not attempt to gain unauthorised access to LearnSquad systems or data, or to any systems connected to LearnSquad.

6.4 You may not copy, scrape, resell, distribute, or commercially exploit the Platform or Content without our prior written permission.

6.5 You may not interfere with the Platform’s security, availability, or functionality.

6.6 We may suspend or terminate your access if we reasonably believe you have breached these Terms, misused the Platform, or created risk to the Platform, our users, or our partners.

7. Access rules and account restrictions

7.1 Access to courses, content, and features depends on an active Subscription status.

7.2 We enforce access rules based on the Subscription state we receive from our payment provider(s) and our recorded billing status.

7.3 We may restrict access where we detect abnormal usage patterns, suspected fraud, account sharing, or any activity that undermines the integrity of the Platform.

8. Subscription, pricing, and payments

8.1 Month to month subscription. LearnSquad is a month to month subscription. There are no long term contracts.

8.2 Pricing and taxes. The Subscription price will be displayed at checkout. Where VAT applies, it will be reflected in your invoice or receipt.

8.3 Payment processing and tokenisation. Payments are processed via PayFast Subscriptions and tokenisation. Your card details are entered on PayFast hosted pages only and are not captured or stored on LearnSquad systems.

8.4 Payment confirmations and ITN records. PayFast provides payment confirmations and certain subscription events to our backend via ITN. We store relevant ITN records for reconciliation, support, audit, and dispute handling.

8.5 Billing cycle. Subscriptions are billed monthly. Billing typically follows your subscription start date, but the PayFast subscription record is the source of truth for billing dates.

8.6 Failed payments. If a payment fails, PayFast may attempt retries in line with PayFast subscription rules. If your Subscription becomes inactive due to failed payment, reversal, or cancellation, LearnSquad will enforce access rules based on the Subscription status we receive or record.

8.7 Pricing changes. We may change the Subscription price from time to time. If we change the price, we will give you reasonable notice via the Platform and or by email before the change takes effect. Unless we state otherwise, any price change will apply from your next billing cycle after the notice period. If you do not agree to the new price, you may cancel your Subscription before the new price takes effect, and your access will remain available until the end of your current paid billing period in line with Section

8.8. Promotional pricing, discounts, or limited time offers may be withdrawn or changed at any time and do not create an ongoing entitlement to a specific price. If you continue your Subscription after the new price takes effect, you will be deemed to have accepted the updated price.

9. Cancellation and reactivation

9.1 How to cancel. You may cancel your Subscription at any time through your LearnSquad dashboard. You may also contact support@learnsquad.co.za
 for help with the cancellation process. Once initiated, cancellation is completed through PayFast.

9.2 When cancellation takes effect. Cancellation takes effect immediately once confirmed. As soon as your Subscription is cancelled, your access to LearnSquad and any Partner College platforms linked to your Subscription will be revoked immediately. You will no longer have access to your courses, content, or benefits, even if time remains in your current billing period. All learning progress, course activity, and related access associated with the cancelled Subscription may also be removed or reset and may not be recoverable. We may also suspend or terminate access earlier in cases of fraud, chargeback, misuse, or breach of these Terms.

9.3 Reactivation. If you want to return after cancelling, you must start a new Subscription. Reactivation may require a new payment token or payment authorisation, depending on PayFast requirements. Previous progress, course history, and access are not guaranteed to be restored.

9.4 Partner College access on cancellation. Because learning takes place on Partner College platforms, cancellation of your Subscription may also result in immediate revocation of access on the relevant Partner College systems. LearnSquad may notify the relevant Partner College of the cancellation so that access can be removed. LearnSquad is not responsible for any loss of progress, records, certificates in progress, or course activity resulting from such cancellation.

9.5 If you cancel or unenrol from a course, you may only re-enrol in the same course after 48 hours have passed from the date and time of cancellation or unenrolment.

10. Refunds and cooling off

10.1 Unless required by law, Subscription fees are not refundable.

10.2 If you are entitled to a refund under applicable consumer protection law, we will process refunds in line with those requirements and any payment provider rules.

11. Course availability and changes

11.1 Course availability, modules, and content may change from time to time.

11.2 We may add, remove, or update courses and categories, and Partner Colleges may update curriculum or requirements.

11.3 We do not guarantee that any specific course will remain available for a particular duration.

12. Certificates and outcomes

12.1 Certificates of completion and accredited certificates are issued by the delivering Partner College, subject to their rules and completion requirements.

12.2 LearnSquad does not guarantee any job outcome, salary increase, or professional recognition beyond what is stated by the Partner College or accrediting body.

13. Intellectual property

13.1 All Platform content, software, branding, and materials are owned by Randgo and or its licensors, unless otherwise stated.

13.2 You may not copy, modify, distribute, reproduce, or create derivative works from the Platform or Content without prior written permission.

14. User content and communications

14.1 If you submit information, feedback, or content to LearnSquad, you grant us a non exclusive right to use it to operate, improve, and support the Platform.

14.2 We may communicate with you by email and through the Platform regarding your Account, Subscription, service updates, and support issues.

15. Privacy and data protection

15.1 We process personal information in line with our Privacy Policy and applicable law, including POPIA.

15.2 You can view the Privacy Policy on the Platform.

16. Service availability and maintenance

16.1 We aim to keep LearnSquad available, but we do not guarantee uninterrupted access.

16.2 We may perform maintenance, updates, or emergency work that may temporarily limit access.

16.3 We are not liable for downtime caused by factors outside our reasonable control, including Partner College outages, payment provider outages, internet failures, or force majeure events.

17. Third party services

17.1 LearnSquad may integrate with third party services, including payment providers and Partner College platforms.

17.2 We are not responsible for third party systems, content, or policies, and your use of those services may be governed by their terms.

18. Limitation of liability.

18.1 To the maximum extent allowed by law, LearnSquad and Randgo will not be liable for indirect, incidental, special, or consequential damages, including loss of profits, loss of data, or business interruption.

18.2 Our total liability to you for any claim arising from or related to these Terms or the Platform will not exceed the total Subscription fees you paid to us in the three months immediately preceding the event giving rise to the claim.

18.3 Nothing in these Terms limits liability where it cannot be limited by law.

19. Indemnity

19.1 You agree to indemnify and hold Randgo harmless from claims, damages, losses, and expenses arising from your breach of these Terms, misuse of the Platform, or violation of any law or third party rights.

20. Termination

20.1 We may suspend or terminate your Account immediately if you breach these Terms, we reasonably suspect fraud, abuse, or unlawful activity, or we are required to do so by law.

20.2 If your Account is terminated, your access to the Platform will end, and you may lose access to course history or related records, subject to legal retention requirements.

21. Complaints and support

21.1 For support and complaints, contact support@learnsquad.co.za.

21.2 We will aim to respond within a reasonable time and may request additional information to verify your identity and investigate the issue.

22. Changes to these Terms

22.1 We may update these Terms from time to time. If changes are material, we will notify you via the Platform and or by email. Continued use of LearnSquad after changes take effect means you accept the updated Terms

23. Governing law and jurisdiction.

23.1 These Terms are governed by the laws of the Republic of South Africa.

23.2 You consent to the jurisdiction of the South African courts for disputes arising from these Terms or your use of LearnSquad.

24. General

24.1 If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

24.2 These Terms constitute the entire agreement between you and Randgo regarding LearnSquad, unless supplemented by written agreement.

24.3 No waiver of any provision is effective unless in writing.
